1. General

1.1. Shaded Savanna (Pty) Ltd wishes to clearly define any and all terms and services that will arise when using our website and service. In an effort to do this, we have kept the terminology simple. Although the language is straightforward, the legality of the issues discussed is still legally binding and a serious matter.

1.2. This Terms and Services Policy is subject to change without notice.

2. Website

2.1. Shaded Savanna (Pty) Ltd must not be held responsible or liable for any for damages; including loss of profits, loss of savings, or other incidental, consequential or special damages while using our website and/or services or when navigating to another website from links on our website.

2.2. Shaded Savanna (Pty) Ltd will not accept any liability or damages caused after navigating away from our website from one or more of these links or after using our website.

3. Electronic Communications

3.1. A user consents to, agrees to and approves of, a data message being sent on Shaded Savanna’s (Pty) Ltd website by clicking “submit”/”Contact Us”; when the user clicks on the previously listed button the user adheres to Chapter 3, Part 1, Section 13 (5)(a)(b) of the Electronic Communications and Transaction act Act. No. 25 of 2002.

3.2. In sending of information through the use of a form on Shaded Savanna’s (Pty) Ltd website, the form is compliant to Chapter 3, Part 1, Section 17 of the Electronic Communications and Transaction act Act. No. 25 of 2002.

3.3. Formation and Validity of agreements are subject to Chapter 3, Part 2, Section 22 of the Electronic Communications and Transaction act Act. No. 25 of 2002.

3.4. Expression of intent by the user is subject to Chapter 3, Part 2, Section 24 of the Electronic Communications and Transaction act Act. No. 25 of 2002.

3.5. Acknowledgement of receipt of a data message is subject to Chapter 3, Part 2, Section 26 of the Electronic Communications and Transaction act Act. No. 25 of 2002.

4. Rights

4.1. Shaded Savanna (Pty) Ltd has sole ownership of the rights to all content, logos, icons, designs, layouts and any other material present on Shaded Savanna’s (Pty) Ltd website and in Shaded Savanna’s (Pty) Ltd branding.

4.2. The use, distribution, and modification of all content, logos, icons, designs, layouts and any other material present on Shaded Savanna’s (Pty) Ltd website and in Shaded Savanna’s (Pty) Ltd branding is strictly prohibited. Any use of which will result in legal action.

5. Services

5.1. Shaded Savanna (Pty) Ltd must adhere to the services listed in Shaded Savanna’s (Pty) Ltd Digital Marketing Service Features or anything listed in our service contracts.

5.2. Shaded Savanna (Pty) Ltd must adhere to any client service contractual agreements.

5.3. Shaded Savanna (Pty) Ltd is required to disclose that we adhere to Google’s third-party policy and requires our clients to read this policy.

6. Free Consultation

6.1. Shaded Savanna’s (Pty) Ltd free consultation is a no-obligation* meeting in which we will either arrange to meet in-person (location dependent) or arrange a meeting in another format that suits the prospective client to discuss the following and similar matters:

6.1.1. The Google Ads campaign;

6.1.2. The prospective client’s business and their business goals and objectives;

6.1.3. Opportunities for the prospective client’s website on Google’s Search Engine Results Page;

6.1.4. Any obstacles the prospective client may have;

6.1.5. The relationship with the prospective client’s developer and/or their content and/or marketing team/s;

6.1.6. The process going forward;

6.1.7. Any questions the prospective client may have.

6.2. Free consultations are limited to one free consultation per business. This does not include email, phone call or message correspondence. Shaded Savanna (Pty) Ltd is available for contact during working hours and these times and contact information can be found on our Contact page.

7. Payment Information

7.1. Payments for services rendered must be paid into Shaded Savanna’s (Pty) Ltd registered bank account electronically via an electronic money transfer or via a debit order instruction / credit card authority mandate.

7.2. Service fees owed to Shaded Savanna (Pty) Ltd must be paid to Shaded Savanna (Pty) Ltd and ad spend fees accumulated in the Client’s Google Ads account must be paid to Google LLC.

7.2.1. Shaded Savanna (Pty) Ltd will not accept the payment of ad spend accumulated in the Client’s Google Ads account. The Client is liable to pay Google LLC directly for any advertising fees / ad spend accumulated in the Client’s Google Ads account.

7.2.2. Monthly account management service fees owed to Shaded Savanna (Pty) Ltd fall separately to ad spend accumulated in the Client’s Google Ads account. Service fees owed to Shaded Savanna (Pty) Ltd must be paid to Shaded Savanna (Pty) Ltd directly.

7.3. Records of transactions are available to a user upon request within 1 business day.

7.4. Shaded Savanna (Pty) Ltd will not issue a refund under any circumstances unless otherwise stated.

7.5. Shaded Savanna (Pty) Ltd will not issue an exchange of services under any circumstances unless otherwise stated.

7.6. Payment security procedures:

7.6.1. Electronic payments are controlled by registered bank security protocols;

7.7.2. Shaded Savanna (Pty) Ltd will only issue and deliver payment instructions for collection to the client’s registered bank with the debit order instruction / credit card authority mandate completed by the client;

7.6.3. Payments for invoices issued must be deposited into Shaded Savanna’s (Pty) Ltd registered bank account only using the bank account information provided by Shaded Savanna (Pty) Ltd.

7.7. The pricing available on Shaded Savanna’s (Pty) Ltd website is in South African Rands (ZAR).

8. Contract Duration

8.1. The Digital Marketing Client contract is binding for a period of six (6) months and will thereafter continue to operate on a month-to-month basis with both parties having the right to cancel by giving one (1) month written notice.

9. Consumer Rights

9.1. The client is entitled to a cooling-off period as described in Chapter 7, Section 44, (1(b)), (3) and (4) of the Electronic Communications and Transaction act Act. No. 25 of 2002.
